These Partner Terms and Conditions (these "Partner Terms") describe the expectations and obligations of Partners that use the Service to provide video game expertise and related services to other users ("Partner Services"). If you are not a Partner or an authorized representative of a Partner, these Partner Terms do not apply to you. Please refer to the Metafy Terms of Service ("Terms of Service") for terms governing general use of the Service. These Partner Terms are Additional Terms subject to, and that supplement, the Metafy Terms of Service, Metafy Privacy Policy, and Metafy Code of Conduct (collectively, the "Terms"). In the event of a conflict between these Partner Terms and the Terms, the provisions of these Partner Terms control.
Metafy Partners may offer a variety of services, including 1:1 sessions, bulk session packages, guides, events, and paid community subscriptions.
1. Capitalized Terms
Capitalized terms used but not defined in these Partner Terms shall have the respective meanings ascribed to them in the Terms of Service.
2. Partner Eligibility
You must be at least 13 years old to provide Partner Services on Metafy. If you are under 18 years of age (a "Minor"), you may only register as a Partner, and your Partner account may only be managed, under the direct supervision of a parent or legal guardian who accepts and agrees to be bound by these Partner Terms on your behalf, and who is responsible for the account, including all Payments, Payout Details, and communications with users. By agreeing to these Partner Terms, you (and, if you are a Minor, your parent or legal guardian on your behalf) represent and warrant that: (a) you are at least 13 years old; (b) if you are a Minor, your account is being registered and managed by your parent or legal guardian in accordance with this Section 2; (c) you have not previously been suspended or removed from the Service; and (d) your registration and use of the Service is in compliance with all applicable laws and regulations. If you are an entity, organization, or company, the individual accepting these Partner Terms on your behalf represents and warrants that they have authority to bind you to these Partner Terms, and you agree to be bound accordingly. Partners are not eligible to act as resellers or referral agents of the Services whereby such parties receive commission payments for directing users to the Service. Partners are only eligible to receive payment for the provision of their Partner Services.
3. Limited License
Subject to your complete and ongoing compliance with these Terms, Metafy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use (i) the Service and (ii) Metafy's name and logo for commercial use in connection with the provision of Partner Services. All uses of the Metafy name and logo must be in accordance with Metafy's brand guidelines, which Metafy will provide upon approval of your Partner application.
4. Qualifying to Become a Metafy Partner
To become a Partner on the Service, you must sign up for the Service and either pay a monthly Pro membership fee or agree to a revenue share under the Core plan in place of a subscription fee. The Service reserves the right to change the pricing and terms of any membership plan at any time.
5. Account Registration
To provide Partner Services, you must first register a user account on the Service in accordance with the Metafy Terms of Service. To begin selling on Metafy, you must sign up for either a Pro or Core membership. You may be required to provide Metafy with additional information, including your name, phone number, age, location, applicable tax documentation, and any other information as determined by Metafy. You agree that all information you provide is accurate and that you will keep it accurate and up-to-date at all times. When you register, you will be asked to provide a password. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account. 6. Off-Platform Services
Metafy Partners may host live events on the Service. All such events must be held on the Metafy platform at metafy.gg. Any payments received by Metafy for live events held outside of metafy.gg will be refunded to the Partner's customers. Metafy is not responsible for compensating Partners for services rendered outside of the Service.
7. Payment
Subject to your full and ongoing compliance with these Terms, Metafy will pay you the applicable amounts ("Payments") in return for your provision of Partner Services.
a. Payment Amount. Partners determine the pricing for their Partner Services in accordance with the Expert Fees provisions of the Terms of Service. Partners on the Pro plan retain 100% of their earnings. Partners on the Core plan are subject to a 15% revenue share, with Metafy retaining 15% of gross earnings.
b. Timing of Payments. In order to receive Payments, you must initiate a withdrawal from your Metafy account. Payments are processed within five (5) business days of the withdrawal request.
c. Payment Disbursement. In order to provide Partner Services and receive Payments, you must provide accurate payout information in your Partner account, including a valid connected payout account ("Payout Details"). All Payments will be disbursed through Whop. You agree that all fees associated with the transfer of Payments to your account are your sole responsibility and will be assessed to you. If Metafy is unable to disburse Payments to you due to inaccurate or missing Payout Details, Metafy will hold your Payments for up to twelve (12) months. If you fail to update your Payout Details within that period, your Payments will be forfeited and donated to a charity of Metafy's choice. If your account remains inactive for twelve (12) or more consecutive months, meaning you have neither provided Partner Services nor requested Payments during that period, Metafy may close your account and remit any outstanding Payments to the Payout Details on file. You are only entitled to receive Payments for session or training plan purchases once the purchased services have been rendered, regardless of whether the Payment appears in your Metafy wallet. If a training plan is refunded in accordance with these Terms, Metafy shall retrieve the refunded amount from your wallet. If your wallet does not contain sufficient funds to cover the refunded amount, Metafy will withhold future earnings until the balance is recovered, or you may add funds to your wallet for immediate retrieval by Metafy.
